- "We," "Us," or "Our" refers to synapiona, a professional services firm registered in Malaysia.
- "Content" refers to all text, images, data, software, and other materials available through our services.
- "Agreement" refers to these Terms and Conditions, along with any service agreements or statements of work.
- "Website" refers to synapiona.live and all associated pages.
2. Acceptance of Terms
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
These terms constitute a legally binding agreement between you and synapiona. You represent that you have the legal capacity to enter into this agreement and, if acting on behalf of an organization, that you have authority to bind that organization to these terms.
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.

3.1 Overview
synapiona provides professional AI integration services to organizations seeking to implement artificial intelligence solutions. Our services include feasibility assessment, predictive analytics development, and AI capability building.
3.2 Service Availability
Services are provided subject to availability and our acceptance of engagement. We reserve the right to decline service requests that fall outside our expertise or capacity.
3.3 Geographic Scope
While based in Malaysia, we provide services to organizations across Southeast Asia and other regions as mutually agreed. Service delivery may be conducted remotely, on-site, or through hybrid arrangements.
4. User Responsibilities
4.1 Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these terms. You must not:
- Use our services in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to our systems or data
- Interfere with or disrupt our services or servers
- Use our services to transmit malicious code or harmful content
- Impersonate us or suggest false affiliation with our company
- Copy, modify, or distribute our proprietary materials without authorization
4.2 Account Security
If you create an account or receive credentials for accessing our systems or deliverables, you are responsible for maintaining the confidentiality of that information. You must notify us immediately of any unauthorized access or security breach.
4.3 Data Provision
For services requiring your data, you are responsible for ensuring you have the legal right to provide that data to us and that the data does not infringe on any third-party rights or violate applicable laws.
5. Intellectual Property
5.1 Our Intellectual Property
All content on our website and methodologies used in our services, including but not limited to text, graphics, logos, icons, images, and software, are the property of synapiona or our licensors and are protected by Malaysian and international copyright laws.
5.2 License to Use Website
We grant you a limited, non-exclusive, non-transferable license to access and use our website for informational purposes. This license does not include the right to download, copy, modify, or distribute any materials except as expressly permitted.
5.3 Client Deliverables
Upon full payment for services rendered, you own all custom code, models, and documentation developed specifically for your project. We retain ownership of our general methodologies, frameworks, and pre-existing intellectual property used in service delivery.
5.4 Client Data
You retain all rights to your data provided to us for service delivery. We do not claim ownership of client data and use it solely for the purpose of providing agreed services.
6. Payment Terms
6.1 Pricing
Service pricing is specified on our website or in individual service agreements. Prices are in Malaysian Ringgit (RM) unless otherwise stated.
6.2 Payment Schedule
Payment terms are specified in individual service agreements. Typical arrangements include upfront deposits, milestone-based payments, or payment upon completion, depending on project scope.
6.3 Late Payment
Invoices are due within 30 days unless otherwise specified. Late payments may incur interest charges at the rate of 1.5% per month or the maximum allowed by law, whichever is lower.
6.4 Refund Policy
Refund eligibility is determined on a case-by-case basis and depends on the nature of services provided and the stage of project completion. We do not offer refunds for completed services or work already delivered.
7. Service-Specific Terms
7.1 AI Use Case Validation
This service provides assessment and recommendations based on information provided by the client. Recommendations are advisory in nature and do not constitute guarantees of implementation success. Actual implementation results may vary based on factors outside our control.
7.2 Predictive Analytics Implementation
Model performance is validated against historical data. Future performance may vary as data patterns change. Clients are responsible for monitoring model performance over time and initiating retraining when necessary. We provide guidance on monitoring but are not responsible for ongoing model maintenance unless separately contracted.
7.3 AI Center of Excellence Setup
This service establishes frameworks and processes for AI development. Successful execution of future AI projects depends on client team capabilities, organizational commitment, and adherence to recommended practices. We provide guidance and initial setup but do not guarantee outcomes of projects executed independently by the client.
8. Disclaimers
8.1 Service Disclaimer
Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for quality and accuracy, we do not guarantee specific outcomes or results from AI implementations.
8.2 Professional Advice
Our services are technical and advisory in nature. They do not constitute legal, financial, or other professional advice. Clients should consult appropriate professionals for such matters.
8.3 Third-Party Tools
We may recommend or integrate third-party tools and platforms. We are not responsible for the performance, availability, or terms of service of third-party providers.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
synapiona shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services.
Our total liability for any claims arising from services provided shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, or otherwise.
10. Indemnification
You agree to indemnify, defend, and hold harmless synapiona, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- Your use of our services
- Your violation of these Terms and Conditions
- Your violation of any rights of another party
- Data you provide to us that infringes third-party rights
11. Confidentiality
Both parties agree to maintain confidentiality of proprietary information disclosed during service delivery. This obligation survives termination of the agreement and continues for a period of three years.
Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality obligations.
Specific confidentiality terms may be detailed in separate non-disclosure agreements for sensitive projects.
12. Termination
12.1 By Client
Clients may terminate services with written notice. Payment is due for all work completed up to the termination date, including any non-refundable deposits.
12.2 By synapiona
We may terminate services if the client breaches these terms, fails to make required payments, or if continuation of services is not feasible due to circumstances beyond our control.
12.3 Effect of Termination
Upon termination, we will provide deliverables for work completed and paid for. Confidentiality obligations and intellectual property rights survive termination.
13. Dispute Resolution
13.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia.
13.2 Jurisdiction
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13.3 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation for a period of at least 30 days.
14. General Provisions
14.1 Entire Agreement
These Terms and Conditions, together with any service agreements or statements of work, constitute the entire agreement between you and synapiona regarding use of our services.
14.2 Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.
14.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
15. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date.
Continued use of our services after changes constitutes acceptance of the modified terms. Material changes will be communicated to active clients via email.
